Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgentHiFive platform and related services (collectively, the "Service") operated by AgentHiFive ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

AgentHiFive is an integration platform that acts as a secure intermediary between your connected third-party accounts (such as Google Workspace) and authorized AI agents. The platform brokers API requests on your behalf, enforcing access controls to ensure that AI agents only perform actions you have explicitly permitted.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To use the Service, you must create an account. You may register using an email address or by signing in through a supported third-party authentication provider (such as Google). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Connecting Third-Party Services

The Service allows you to connect third-party accounts, including Google Workspace services such as Gmail, Google Drive, Google Calendar, and Google Contacts. When you connect a third-party service:

• You authorize AgentHiFive to access your data on that service within the scope of permissions you grant.
• You remain responsible for complying with the terms of service of each connected third-party service.
• You may disconnect any third-party service at any time through the AgentHiFive dashboard or through the third-party provider's account settings.

5. AI Agent Authorization

Through AgentHiFive, you may authorize third-party AI agents to access your connected services and perform actions on your behalf. You acknowledge and agree that:

• You are solely responsible for reviewing and approving the permissions granted to each AI agent.
• AgentHiFive acts as a gatekeeper and will enforce the access boundaries you define, but we are not responsible for the behavior or output of third-party AI agents.
• You may revoke an AI agent's access at any time through the AgentHiFive dashboard.
• Actions performed by authorized AI agents on your behalf (such as sending an email or creating a calendar event) are considered actions taken by you.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Access or attempt to access another user's account or data without authorization.
• Transmit malicious code, spam, or any content that could harm the Service or its users.
• Circumvent, disable, or interfere with any security features of the Service.
• Use the Service in a manner that could overburden, impair, or disrupt our infrastructure.
• Use the Service to facilitate unauthorized mass data collection, surveillance, or harassment.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

7. Data and Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by AgentHiFive and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

You retain all ownership of and rights to your data. By using the Service, you grant us a limited license to access, process, and transmit your data solely for the purpose of providing the Service.

9. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

10. Limitation of Liability

To the fullest extent permitted by applicable law, AgentHiFive shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

• Actions performed by third-party AI agents you have authorized.
• Loss of data resulting from third-party service outages or API changes.
• Unauthorized access to your account resulting from your failure to safeguard your credentials.

Our total aggregate liability to you for any claims arising from the Service shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AgentHiFive, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may terminate your account at any time by contacting us or through the AgentHiFive dashboard. Upon termination:

• Your access to the Service will be revoked.
• OAuth tokens and connections to third-party services will be deleted.
• Your account data will be deleted within 30 days, except where retention is required by law.

We may also suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with notice where practicable.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AgentHiFive is established, without regard to conflict of law principles.
